This Brand Ambassador Partnership Agreement (the "Agreement") is entered into on (the "Effective Date"), by and between:
Becoming Her Magazine and your brand.
Collectively referred to as the "Parties
Brand Ambassadors referees to the Becoming Her Magazine Co-Founders
1. TERMS OF ENGAGEMENT
1.1 Partnership Period: This agreement shall commence on the Effective Date and continue for a period of 6 months unless terminated earlier by either party with written notice.
1.2 Brand Ambassador Duties: The Brand Ambassador agrees to actively promote the brand through posts, reels, and other engaging content on Becoming Her Magazine's Instagram platform, with a commitment of 3 to 4 posts per month.

2. COMPENSATION AND BENEFITS

BHM's primary goal is to add value to brands. In consideration for the services provided by Brand, BHM agrees to provide the following compensation and benefits:

2.1 Compensation: In consideration for the services provided, the Brand Ambassador will receive free promotion from Becoming Her Magazine.
​
2.2 HerBusiness Spotlight: BHM will feature the Brand in a 2 - 4 full-page spread as HerBusiness Spotlight in its magazine during the term of this Agreement.
​
2.3 HerCover story: BHm will feature the brand owner on becominghermagazine.com as a HerCover story.
​
2.4 Ad Space: BHM grants Brand ad space in its magazine for the duration of the brand partnership.
​
2.5 Social Media Posts: BHM will create and publish social media posts about the Brand on its platforms 3 - 4 a month to enhance brand awareness.

Content Houses
​
2.6 Content House - The Content House shall provide high-quality content suitable for sharing on our platforms. Additionally, on a bi-monthly basis, we will produce a commercial to promote the space.
​
2.6 a - BHM shall conduct at least one to two photoshoots per month in the space, subject to the Content House's permission to book the desired dates. Our selected dates will be flexible. BHM will provide the Content House with one to two weeks' notice prior to the photoshoots.
​
2.6b - BHM will give the content house credit by tagging them in social media post , and providing them credit in the magazine for any photoshoot.
​
2.7: Events and Profit Sharing
​
BHM will host monthly or bi-monthly events at the Content House, with profits to be split between the Content House and BHM as follows: 40% of ticket sales to the Content House and 60% to BHM. During these events, both parties will collaborate on aspects such as vendors, drinks, and other arrangements. Each party will be responsible for bringing in sales to ensure profitability for both brands.
2.7a.Scheduling and Meetings: There will be a mandatory meeting before each event to ensure all parties are aligned and on the same page.

2.7b​ Ticket Sales: Tickets will be available on becominghermagazine.com/bhmevents and Eventbrite. After each event, a report will be generated and made available to both parties for transparency regarding sales.

2.7c Vendor and Sponsor Agreements: Vendor profits will be split as agreed upon by both parties. Any sponsors for the events must meet the standards of both brands and sign a sponsor contract issued by BHM.

2.7d Sales and Promotions: If either BHM or the Content House runs a sale or promotion during the events, the other party will not be entitled to a percentage of the sales generated from such promotions.

2.8. Article Post: BHM will dedicate 1 article write to showcase and promote the Brand's business. This article will promote the brand or owner of the brand.

2.9 Brand Ambassador Product Provision:
​
In consideration for the Brand Ambassador's services, the Brand agrees to provide two promotional items per month to each of the co-founders of Becoming Her Magazine for the duration of the 180-day partnership period. This shall result in a total of 12 items to be sent over the span of six months. Each co-founder should have 6 items The provided items are intended for promotional and review purposes, allowing Becoming Her Magazine to better showcase and endorse the brand in its content.

2.10 Photoshoot Partnership :
In the event that the goods or services provided by the brand are featured in any photo shoot, whether involving the founders or otherwise, Becoming Her Magazine acknowledges the importance of proper attribution. Should any of these photos be selected for publication in any medium, Becoming Her Magazine commits to ensuring due credit is given to the brand.

Moreover, in the event that Becoming Her Magazine opts to share the photoshoot content on its official social media platforms, The Brand will be appropriately tagged using the provided social media username. This commitment to recognition extends to all relevant posts on Becoming Her Magazine's social media accounts.

3. CONTRACTUAL OBLIGATIONS
​
3.1 Contract Delivery:
Becoming Her Magazine ("BHM") commits to fulfilling all obligations outlined in this Agreement within the specified timeframe of 180 days.
​
After the 180-day partnership period has concluded. It is clarified that while BHM endeavors to execute the contract as outlined, it is not mandated to tag the Brand Ambassador in posts, create content for the brand, or allocate ad space for the brand. The primary objective is to adhere to the contractual terms and ensure the satisfaction of both parties. During the initial 180-day period, BHM undertakes to make a minimum of 12 posts on its platforms, particularly on @becominghermag. BHM reserves the right to exceed this minimum if it aligns with ongoing events or projects. Co-founders may also share content on their personal pages, although the primary dissemination will occur on the business account.

3.2 Partnership Review Meeting:
​
Upon the conclusion of the 180-day partnership period, the Parties will coordinate a Partnership Review Meeting. This meeting will serve as a forum to assess the success of the collaboration and explore the potential extension of the partnership. Should both parties mutually agree to continue the partnership for an additional 180 days, a new contract must be negotiated, executed, and signed to formalize the extended arrangement.
4. INTELLECTUAL PROPERTY

4.1 Content Ownership: All content created during the partnership period shall be the exclusive property of Becoming Her Magazine, granting the Magazine the right to use, reproduce, and distribute the content for promotional purposes. However, Becoming Her Magazine shall have the exclusive right to feature the content in the magazine itself. Additionally, both parties retain the right to use the content independently and share it on their respective platforms. Any significant utilization or alteration of the content beyond the scope of this agreement shall require mutual consent from both parties.
5. CONFIDENTIALITY
5.1 Non-Disclosure:
The Brand Ambassador acknowledges and agrees to maintain the confidentiality of any proprietary information acquired during the partnership, encompassing, but not limited to, business strategies, trade secrets, and proprietary information ("Confidential Information"). The Brand Ambassador further undertakes not to disclose, directly or indirectly, the Confidential Information to any third party or use it for any purpose other than the performance of their duties under this agreement.
Simultaneously, the brand commits to a reciprocal non-disclosure obligation and agrees not to disclose any confidential information to which the Brand Ambassador is privy, including, but not limited to, business strategies, trade secrets, and proprietary information.
This mutual non-disclosure obligation extends to information exchanged verbally, in writing, or through any other means. Both parties acknowledge the importance of safeguarding such information and undertake to take all necessary steps to prevent unauthorized disclosure. This obligation survives the termination of the partnership.
6. TERMINATION
6.1 Termination for Cause: Either party may terminate this Agreement with immediate effect upon a material breach of any provision herein by the other party.
7. GOVERNING LAW
7.1 Applicable Law: This Agreement shall be governed by and construed in accordance with the laws of GA, without regard to its conflict of law principles.
IN WITNESS WHEREOF, the undersigned parties have executed this Agreement as of the Effective Date.

Electronic Signature:
Both parties acknowledge and agree that this Agreement may be executed and delivered electronically. Electronic signatures, whether digital or scanned, shall be considered valid and have the same legal effect as original signatures.
