​​This contract is entered into between Becoming Her Magazine (hereinafter referred to as “Becoming Media”) and [Name] (hereinafter referred to as “Collaborator”), regarding the details of the Collaboration Package.

1. Purpose of the Agreement
The purpose of this agreement is to establish the terms of the Collaboration Package, which includes a custom HerArticle Cover Story, a 2-4 page magazine spread, permanent ad space, and full brand credit across Becoming Her Magazine’s platforms.
2. Feature Details
2.1. HerArticle Cover Story: The Collaborator will receive a cover story on becominghermagazine.com, valued at $350.
2.2. 2-4 Page Spread: A custom feature will be created, including a detailed 2-4 page spread highlighting your story, brand, or message.
2.3. Permanent Ad Space: The Collaborator's brand will receive permanent advertisement placement in the magazine and our media kit.As long as we are in a partnership.
2.4. Brand Credit: Full credit will be given across all platforms, including social media tags and proper mentions within the magazine.
3. Submission of Exclusive Images
3.1. Becoming Media kindly requests that the Collaborator submit 4-10 high-quality, exclusive images that have not been posted online or on social media. These images should be new and never seen before to ensure your feature stands out.
3.2. Overused images from your social media will affect the uniqueness of your feature and may result in delays or postponement of your article to a later issue.
3.3. Please note: If the required images are not provided, Becoming Media cannot proceed with your cover story feature. This is a critical part of the collaboration process.
3.4. You will have 6 months to 1 year to provide these pictures to ensure the completion of the collaboration. If the images are not provided within this timeframe, your collaboration may be considered incomplete, and your feature may not be published.
4. Image Quality Clause
4.1. The Collaborator agrees that all images submitted must meet the quality standards of Becoming Media. Images should be high-resolution, clear, and professional in nature.
4.2. Becoming Media reserves the right to reject any images that do not meet these standards. In such cases, the feature may be delayed until appropriate images are provided.
4.3. Becoming Media does not accept AI-generated or altered images. All images must be authentic and represent the true essence of the Collaborator.
5. Photographer Credit
5.1. The Collaborator is responsible for providing accurate photographer credit information, including the full name of the photographer and any relevant social media handles or website links for proper attribution.
5.2. Failure to provide the necessary information may result in the omission of photographer credit in the feature. Becoming Media will not be held liable for any errors resulting from missing or inaccurate information provided by the Collaborator.
6. Name Clause
6.1. The Collaborator acknowledges that it is their responsibility to provide Becoming Media with the correct and full name, as well as any alternative names, pseudonyms, or brand names they wish to be associated with in the feature.
6.2. Any failure to notify Becoming Media of alternative names may result in inaccuracies in the feature, for which the Magazine will not be held liable.
6.3. Becoming Media will rely solely on the information provided by the Collaborator for correct naming, and the Collaborator agrees to promptly communicate any changes or corrections.
7. Social Media Tags and Mentions
7.1. Becoming Media will tag the Collaborator on social media posts related to the feature and ensure proper credit is given in all magazine content.
7.2. It is the responsibility of the Collaborator to provide accurate social media handles to avoid errors in tagging.
8. Ad Space and Media Kit Placement
8.1. The Collaborator’s brand will receive permanent ad space in the magazine’s media kit. As long as we have an active partnership.
8.2. The ad placement will be designed and approved in collaboration with Becoming Media and must adhere to the magazine’s design standards.
9. Non-Disclosure Agreement (NDA)
9.1. The Collaborator agrees to maintain the confidentiality of any business practices, internal processes, or proprietary information shared by Becoming Media during the course of this collaboration.
9.2. Any information disclosed by Becoming Media that is not publicly available shall be considered confidential and must not be shared with third parties without prior written consent.
9.3. This NDA shall remain in effect for 75 years from the date of signing. The obligations of confidentiality extend beyond the termination of this agreement.
9.4. The Collaborator also acknowledges that Becoming Media will maintain confidentiality regarding any sensitive information shared by the Collaborator during the collaboration.

10. Mutual Non-Disparagement Clause
10.1. Both parties agree to act in good faith and maintain a professional and positive public image of one another.
10.2. The Collaborator agrees not to make any disparaging or negative statements about Becoming Her Magazine, Becoming Media, or any of its representatives in public forums, including but not limited to social media and public interviews.
10.3. Likewise, Becoming Media agrees not to make any disparaging statements about the Collaborator or their brand. This clause ensures mutual respect and maintains the integrity of both parties' reputations.

11. Rights and Permissions
11.1. By signing this agreement, the Collaborator grants Becoming Media the right to use submitted photos, videos, and materials for the purpose of the magazine feature, promotion, and advertisements.
11.2. The Collaborator represents and warrants that all materials submitted are owned by or have been legally cleared for use.

12. Modification and Removal
12.1. Becoming Media reserves the right to modify the content, design, or layout of the feature to meet editorial standards.
12.2. In the event of any behavior that negatively impacts Becoming Her Magazine’s reputation, Becoming Media reserves the right to remove the feature and ad space without further obligation.

13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.

14. Entire Agreement
This Agreement constitutes the entire understanding between both parties regarding the Collaboration Package and supersedes any prior agreements.

15. Acknowledgment
By signing below, the Collaborator acknowledges they have read, understood, and agree to the terms and conditions of this contract.

IN WITNESS WHEREOF, the undersigned parties have executed this Agreement as of the Effective Date.

Electronic Signature:
Both parties acknowledge and agree that this Agreement may be executed and delivered electronically. Electronic signatures, whether digital or scanned, shall be considered valid and have the same legal effect as original signatures.
