1.Engagement and Scope of Work:
a. Talent:
Becoming Her Magazine engages the talent to provide fashion design/styling, hair styling, makeup artistry, and photography services for the exclusive photo shoot scheduled to take place on the date of this Agreement.

2. Unpaid Engagement:
a. Compensation:
All services rendered under this Agreement are voluntary and unpaid. The Parties acknowledge and agree that this engagement is for the mutual benefit of all involved parties and serves as an opportunity for exposure in Becoming Her Magazine.
b. Becoming Media will provide HerCover write-up, a full-page ad in the magazine, and a feature inside of the magazine.
3. Rights and Usage:
a. Ownership:
All rights, including but not limited to copyright, in the photographs, designs, and other creative works produced during the photo shoot shall vest exclusively in Becoming Her Magazine and the photographer.
b. Publication:
Becoming Her Magazine retains the right to publish, distribute, and use the photographs and related content in any medium, including but not limited to print, online, and social media platforms.
4. Confidentiality:
a. Non-Disclosure:
The talent agrees not to disclose any confidential information obtained during the photo shoot, including but not limited to behind-the-scenes details, unpublished photographs, and trade secrets of Becoming Her Magazine.
5. Termination:
a. Termination by Either Party:
Either party may terminate this Agreement with written notice to the other party, provided that termination shall not affect any rights or obligations that have accrued prior to the effective date of termination.
6. Miscellaneous:
a. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of GA.
b. Entire Agreement:
This Agreement contains the entire understanding between the Parties and supersedes any prior agreements or understandings, whether written or oral.
c. Amendments:
Any amendments to this Agreement must be in writing and signed by both Parties.
7.Behind-the-Scenes (BTS) and Confidentiality:
a. BTS Creation:
The talent is granted permission to create behind-the-scenes (BTS) content during the photo shoot for personal and professional use.
b. BTS Usage:
The talent may use BTS content in their professional portfolio and promotional materials; however, they are expressly prohibited from sharing any photographs from the shoot until the official cover reveal by Becoming Her Magazine.
c. Confidentiality:
The Talent acknowledges and agrees to maintain strict confidentiality regarding any unreleased photographs, designs, or other creative works produced during the photo shoot until the official cover reveal by Becoming Her Magazine.
7. Magazine Feature:
a.Full Spread and Feature
In consideration of the talent voluntary and unpaid services, Becoming Her Magazine agrees to provide the talent with a full spread in the magazine, showcasing their work and brand. This feature will include relevant content related to the photo shoot, such as fashion designs, hair styling, makeup artistry, and photography.
b. Direct Link Under HerArticle:
Becoming Her Magazine further agrees to include a direct link to the talent feature under the designated section named "HerArticle" on the magazine's online platform. This link will serve as a direct reference to the talent contribution to the photo shoot.
c. Publication Timing:
The feature is expected to be published in conjunction with or shortly after the release of the cover and main spread featuring the cover feature.

IN WITNESS WHEREOF, the undersigned parties have executed this Agreement as of the Effective Date.

Electronic Signature:
Both parties acknowledge and agree that this Agreement may be executed and delivered electronically. Electronic signatures, whether digital or scanned, shall be considered valid and have the same legal effect as original signatures.
